Terms of Service
These Terms are an agreement between you and 1496096 Canada Inc., doing business as Nextia AI (“Nextia”, “we”, “us”) for the Nextia platform and the NextiaInvoices product. Section 9 is a schedule of terms that apply only to NextiaInvoices.
In plain language
- NextiaInvoices is a tool for calculating and issuing invoices. Your business is responsible for the correctness of what it issues and for its own tax obligations.
- The business owner controls the business’s data, including who has access.
- Subscriptions are billed through Stripe.
- No service-level agreement is offered.
Each Nextia product site publishes these Terms and the product schedule that applies to it.
1. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract. If you use Nextia for an organization, you represent that you have authority to bind it.
2. What the Nextia platform provides
Your Nextia account, your business record, team members and roles, subscriptions and billing, clients shared across the business’s Nextia products, and the cross-product insights home — on the web and in the NextiaBusiness mobile app.
3. Your account and sign-in
Sign-in is provided by Microsoft Entra External ID, with an email and password or with a Google, Microsoft or Apple account. Nextia never holds your password.
4. The business owner controls the business’s data
The owner of a business on Nextia controls that business’s data, including the ability to remove a team member’s access.
5. Subscriptions and billing
Subscriptions are billed through Stripe. Nextia does not receive or store card numbers.
- New businesses may try Pro free for 14 days without a credit card. If no paid plan is selected, the business moves to Free and its data is preserved.
- Paid subscriptions renew automatically for the monthly or annual period selected until cancelled. Prices are in Canadian dollars and applicable taxes are added.
- You may cancel at any time. Cancellation stops future renewals and takes effect at the end of the paid billing period.
- Payments already made are non-refundable except for duplicate or erroneous charges, a charge made after cancellation should have taken effect, or where the law requires a refund. Contact billing@nextia-ai.com.
6. When a subscription ends
When a paid subscription ends, the business moves to the Free plan and Free-plan limits apply. Existing data is preserved, but reduced limits may restrict new uploads or actions. Cancelling a subscription does not delete an account; account deletion is a separate privacy request.
7. Acceptable use
You must not use Nextia unlawfully; infringe another person’s rights; upload malicious code; probe, disrupt or bypass security or usage limits; access another customer’s data without permission; send spam or deceptive messages; or impose an unreasonable automated load. We may restrict or suspend access when reasonably necessary to protect the service, users or the public, and will give notice when practicable.
8. Service availability
Nextia does not currently offer a service-level agreement or any availability commitment.
9. Schedule — NextiaInvoices
Invoice and tax-rate calculation in NextiaInvoices is a tool. Your business is responsible for the correctness of the invoices it issues and for its own tax obligations.
Where your business connects a payment provider (Stripe, Square or PayPal), card data goes to that provider, never to Nextia. Services your business chooses to connect are provided by those third parties under their own terms.
A client portal link lets your client see their own invoices and statements without a Nextia account. Anyone who holds the link has that access. The Privacy Policy, section 9, describes this in full.
10. Privacy and data processing
The Privacy Policy explains what we collect and why. For your business’s own client data, Nextia processes information on your business’s behalf, and your business is accountable to its clients for it.
If your organization requires a data-processing agreement, contact legal@nextia-ai.com before submitting regulated or specially protected data. A separate agreement applies only when signed by both parties.
11. Limitation of liability
To the maximum extent permitted by law, Nextia is not liable for indirect, incidental, special, consequential or punitive damages, loss of profits, revenue, data or goodwill, or third-party services. Nextia’s aggregate liability arising from the service is limited to the amount you paid for the affected service in the 12 months before the event giving rise to the claim. These limits do not exclude liability that cannot legally be limited.
12. Changes, governing law and contact
- We may update these Terms. We will post the revised version with a new effective date and give advance notice by email or in the service when a material change adversely affects you.
- These Terms are governed by the laws of Québec and the applicable federal laws of Canada. The courts of the judicial district of Montréal have jurisdiction, except where mandatory consumer law gives you the right to bring proceedings elsewhere.
